Acceptance of Terms

By accessing and using the services provided by VelvetBeacon B.V. ("VelvetBeacon", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

All services are provided on a consultative basis. VelvetBeacon does not guarantee specific financial outcomes, though we strive to deliver measurable improvements based on industry best practices and proven methodologies.

User Obligations

As a client or user of our services, you agree to:

• Provide accurate, complete, and up-to-date information necessary for service delivery
• Cooperate in good faith during the consultation and implementation process
• Make payment for services in accordance with agreed terms
• Maintain confidentiality of any proprietary methodologies or sensitive information shared by VelvetBeacon
• Use our services only for lawful purposes and in accordance with applicable laws and regulations
• Not misrepresent your identity or provide false information
• Respect the intellectual property rights of VelvetBeacon and third parties

Failure to comply with these obligations may result in termination of services and may affect our ability to deliver optimal results.

Payment Terms

Payment terms for our services are as follows:

• Consultation fees are due upon booking or as specified in the service agreement
• Project-based services require payment according to agreed milestones
• Ongoing services are billed monthly in advance
• All prices are quoted in Euros (EUR) and include applicable VAT
• Late payment may incur additional charges as permitted by law
• Refunds are provided only in accordance with our cancellation policy

Intellectual Property

The VelvetBeacon website, service methodologies, reports, recommendations, and all related materials are protected by copyright, trademark, and other intellectual property laws. All rights are reserved to VelvetBeacon unless explicitly stated otherwise.

Limitation of Liability

VelvetBeacon provides consulting services based on industry best practices and professional expertise. However, we cannot guarantee specific financial outcomes or results. Our liability is limited as follows:

• Our total liability for any claims arising from our services shall not exceed the total fees paid for the specific service giving rise to the claim
• We shall not be liable for any indirect, consequential, special, or punitive damages
• We are not liable for losses resulting from your failure to implement recommendations or follow advised procedures
• We are not responsible for external factors beyond our control that may affect your business performance

This limitation of liability applies to the fullest extent permitted by applicable law and does not affect any statutory rights that cannot be excluded or limited.

You acknowledge that restaurant profitability depends on numerous factors, many of which are beyond VelvetBeacon's control, and that our recommendations are provided as professional guidance rather than guarantees.

Disclaimers

Our services and website are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of information
• Warranties that our services will meet your specific requirements or expectations
• Warranties regarding uninterrupted or error-free operation of our website or services

We do not warrant that our recommendations will achieve specific results or that implementation will be without challenges or setbacks.

Termination

Either party may terminate the service relationship under the following circumstances:

• By mutual written agreement
• By either party with 30 days' written notice for ongoing services
• Immediately for material breach of these terms, subject to applicable cure periods
• Immediately if continuation of services becomes impractical or impossible

Upon termination:

• You remain obligated to pay for services rendered up to the termination date
• We will provide any completed work or reports as agreed
• Confidentiality obligations continue to apply
• Both parties will return or destroy confidential information as requested

Termination does not affect any rights or obligations that accrued prior to the termination date.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, Netherlands.

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect.

Changes to Terms

VelvetBeacon reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date at the top of this page.

Your continued use of our services after any such changes constitutes your acceptance of the new terms. If you do not agree to the modified terms, you should discontinue use of our services.
